Welcome to OptimizeMe, a service provided by OptimizeMe LLC ("Company," "we," "our," or "us").

By accessing or using our website and services (the "Service"), you ("you," "user," or "Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you may not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. The Service

OptimizeMe LLC designs and sells digital products for marketing teams, including HubSpot CMS themes, custom modules, and SaaS applications. Our applications include:

  • GeoList - A contact visualization tool that maps CRM data from HubSpot, Mailchimp, and Shopify for geographic targeting and list building.
  • SERP & Turf - An AI-powered SEO and AEO blog optimization platform with content creation, optimization, review, and analysis workflows.

3. Account Registration

To access our applications, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use or breach of security
  • Be responsible for all activities that occur under your account

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Interfere with or disrupt the Service or servers
  • Attempt to reverse engineer, decompile, or copy any part of our software or digital products beyond what is permitted by your license
  • Submit false or misleading information
  • Generate excessive requests or abuse rate limits
  • Use our applications to scrape, harvest, or collect CRM data for purposes unrelated to the intended functionality
  • Share account credentials or allow unauthorized access to your account
  • Use AI-generated content from SERP & Turf in a manner that violates applicable laws or third-party rights

We reserve the right to suspend or terminate access to the Service at any time for violations of these Terms.

5. CRM Data and Third-Party Integrations

When you connect a CRM platform (HubSpot, Mailchimp, Shopify) to GeoList, you authorize us to access your contact data through official platform APIs solely for the purpose of providing the Service. You represent that:

  • You have the authority to grant us access to your CRM data
  • Your use of the data complies with the connected platform's terms of service
  • You have obtained any necessary consents from your contacts for the processing you perform using our tools

We are not responsible for the accuracy, completeness, or legality of the data in your CRM. You may disconnect your integrations at any time.

6. AI-Generated Content

SERP & Turf uses artificial intelligence to generate and optimize content. You acknowledge that:

  • AI-generated content may require review and editing before publication
  • We do not guarantee that AI-generated content will achieve specific SEO rankings, traffic, or business outcomes
  • You are solely responsible for reviewing, editing, and publishing any content generated through the Service
  • AI-generated content may occasionally contain inaccuracies that you are responsible for verifying

You retain ownership of the content you submit for processing and the final content you publish. We do not claim ownership of your input or output content.

7. Purchases and Payments

Payments for our digital products are processed through Stripe. By completing a purchase, you agree to Stripe's terms and our Refund Policy.

  • All sales of digital products are final upon delivery
  • Prices are listed in USD and may change at any time
  • Refunds are only issued for defective products per our Refund Policy

8. License to Digital Products

When you purchase a digital product from OptimizeMe, you are granted a non-exclusive, non-transferable license to use the product for your own personal or business purposes. You may not:

  • Redistribute, resell, or sublicense any product without prior written permission
  • Remove proprietary notices or branding from source files
  • Use any product to build a competing marketplace offering

9. Intellectual Property

All content, trademarks, branding, and software associated with OptimizeMe are the intellectual property of OptimizeMe LLC or its licensors.

Your purchase grants you a license to use the product as described, but does not transfer ownership of the underlying intellectual property.

10. Disclaimer of Warranties

The Service and all digital products are provided "as is" and "as available" without warranties of any kind, either express or implied, including:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will be error-free or uninterrupted
  • Warranties that our products will achieve specific business or marketing outcomes

You use the Service at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, OptimizeMe LLC shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use arising from your access to or use of the Service
  • Any damages resulting from the installation, configuration, or use of our digital products on third-party platforms

In no event shall our total liability exceed the greater of: the amount you paid for the product in question, or $100 USD.

12. Service Availability

We strive to maintain high availability of our applications but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

13. Termination

You may stop using the Service and delete your account at any time. We may terminate or suspend your access without notice if you breach these Terms, we suspect fraud or abuse, or it is required by law or business necessity. Upon termination, your access to applications will be revoked, CRM integrations will be disconnected, and account data may be deleted.

14. Modifications to Terms

We reserve the right to update or modify these Terms at any time. When we do, we'll update the "Last updated" date above. Your continued use of the Service constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict-of-law principles. You agree to resolve any disputes exclusively in the state or federal courts located in Texas, unless otherwise required by law.
